End-User Licence & SaaS Agreement

Important: By accessing the management dashboard or using the mobile tracking workflows operated by Wastepos (M) Sdn Bhd (Company Registration No. 945452-H), you agree to be bound by all terms applicable to your role as either a Subscriber or an End-User Driver.

Part A — General provisions & definitions

"Service" / "Wastepos Platform": the unified Wastepos software architecture, including background data-sync modules, processing engines, hosted mapping layers, geofencing infrastructure, and mobile interface wrappers.
"Subscriber": the corporate entity, waste contractor, or municipality paying for the platform subscription.
"Driver" / "End-User": contractors, employees, or personnel authorised by the Subscriber to use the tracking interface.

"As Is" availability: the Service relies on self-hosted cloud nodes and cellular networks and is provided "AS IS". Wastepos is not liable for temporary data gaps, missed pings, or server blackouts during maintenance or infrastructure drops.

2.1 Waste material traceability, data origin & EPR rights

Scope of material transactions: this section applies to all platform users, sub-vendors, and contractors (collectively, "Service Providers") who use the Software to log, transport, or trade physical waste materials — including but not limited to cardboard, plastics, and aluminium — sourced from client facilities, whether or not those facilities are managed by the Platform.
Exclusive retention of environmental attributes: the Service Provider acknowledges and agrees that purchasing or handling physical materials via the platform constitutes a transaction of the physical commodity only. The Platform natively and exclusively retains 100% of all associated environmental attributes, data-origin certificates, chain-of-custody tracking metrics, and Extended Producer Responsibility (EPR) compliance credit values.
Downstream commercial restrictions: the Service Provider, and by extension any downstream processing facility, paper mill, end-smelter, or polymer palletizer to which the Service Provider delivers the physical material, is strictly prohibited from tokenizing, registering, claiming, or reselling the data lineage or environmental weights of these materials as independent EPR offsets, carbon credits, or sustainability tokens on any public or private market ledger.
Data fulfilment and verification bonus: to qualify for localised platform traceability premiums (the "Data Bonus"), the Service Provider must upload a legible photograph of the final destination mill/palletizer weighbridge ticket via the platform's WhatsApp tracking interface within twelve (12) hours of delivery. Failure to provide verified downstream metrics forfeits the Data Bonus, without altering the underlying physical material transaction.

Part B — Subscriber & fleet-operator terms

Bring Your Own Device: Wastepos is a cloud-based software solution and does not sell, lease, or maintain GPS hardware or smartphones. The Subscriber funds the devices, data plans, and connectivity its Drivers need.
Mapping limitations: the Service uses third-party/crowdsourced map data with no accuracy guarantee, and does not integrate live traffic. Wastepos is not liable for delays, missed pickups, or penalties from map/road discrepancies.
Privacy compliance: the Subscriber guarantees it has secured explicit, legally binding consent from all Drivers for background location tracking during active shifts, in compliance with the PDPA 2010.
Data pruning: retention thresholds are linked to the subscription tier; Wastepos holds no liability for loss of historical telemetry once past the pruning window.

Part C — End-user driver terms

Background location logging: the Driver grants explicit permission for the Service to access device GPS and transmit real-time location, speed, and heading in the background — including when the interface is minimised, the screen is locked, or calls are active.
The shift boundary: tracking is active only while the in-app Shift Toggle is "Active". The Driver is responsible for turning it "Off" when the shift ends.
No native navigation: the App is a passive background logger and does not provide turn-by-turn directions; use independent tools (e.g. Waze, Google Maps). Wastepos holds zero liability for routes, hazards, or manoeuvres suggested by those apps.
Distracted driving: Drivers must not interact with the interface while the vehicle is in motion. The Driver assumes absolute liability for any accident caused by phone distraction.

Part D — Indemnification & liability caps

Wastepos is not liable for physical accidents, property damage, landfill violations, illegal dumping, incorrect bin placement, or weight/tonnage disputes during a coordinated route.
Liability ceiling: Wastepos's maximum aggregate liability for any claim is capped at the subscription fees paid by that Subscriber in the three (3) months preceding the event.
The Subscriber and Driver agree to indemnify and hold Wastepos harmless from claims arising out of traffic accidents, regulatory/contract penalties from mapping or tracking delays, or surveillance claims where shift protocols were mismanaged.
